These Terms & Conditions (“Terms”) apply to www.idcoilgroup.com, the webshop, and all offers, quotations, agreements, deliveries and services provided by:

If you act outside your trade or profession, you are a Consumer.
All others are Business Customers.
Mandatory consumer law prevails where applicable.
1. Applicability
1.1 These Terms apply to all offers, quotations, orders and agreements.
1.2 For Business Customers, these Terms apply to all future transactions.
1.3 Customer terms are rejected unless agreed in writing.
2. Nature of Products
2.1 Products may include RF components, coils, inductors, assemblies and technical components.
2.2 Products are intended for professional and industrial use unless stated otherwise.
2.3 Customer is responsible for:
Suitability for intended application
Engineering integration
System validation
Regulatory compliance
EMC and safety compliance
2.4 Technical advice is non-binding unless confirmed in writing.
3. Offers & Contract Formation
3.1 Website listings are non-binding invitations to order.
3.2 Contract is formed only after written confirmation or shipment confirmation.
3.3 Automatic order receipt does not constitute acceptance.
3.4 Orders may be cancelled due to:
Stock shortages
Export restrictions
Obvious pricing errors
Fraud suspicion
Force majeure
4. Pricing Accuracy
4.1 Prices are in EUR.
4.2 Obvious pricing or information errors are not binding.
4.3 We may correct, offer revised terms, or cancel.
4.4 Cancelled orders are refunded.
5. Payment
5.1 Payment required before delivery unless agreed.
5.2 Late B2B payments incur statutory interest and collection costs.
6. Incoterms & Delivery (EXW)
6.1 Delivery is Ex Works (EXW) – Drunen, Netherlands – Incoterms® 2020, unless otherwise agreed.
6.2 Risk transfers upon making goods available.
6.3 Customer is responsible for transport, export, import, insurance and costs.
6.4 If we arrange shipping, we act as agent only and EXW remains applicable unless otherwise confirmed.
7. Shipping Countries & Export Scope
7.1 We ship to all EU Member States:
Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain and Sweden.
7.2 We may ship to non-EU countries including:
United Kingdom, United States, Canada, Switzerland, Norway and others upon request.
7.3 Shipments may be refused due to sanctions, dual-use restrictions or export control laws.
7.4 Customer must verify import legality.
8. Backorders & Partial Shipments
8.1 Partial deliveries are permitted.
8.2 Backorders may be shipped separately.
8.3 Each delivery constitutes separate transaction.
9. Minimum Order Quantities
MOQ may apply and may be indicated in quotation or product listing.
10. Retention of Title
Goods remain our property until full payment.
11. Conformity & Warranty
Consumers have statutory conformity rights.
For Business Customers:
Warranty limited to 12 months.
Remedy limited to repair or replacement.
No warranty for misuse, modification or improper integration.
12. Product Recall
Customers must cooperate in recall situations.
Liability limited to replacement or refund of affected goods.
13. RoHS & REACH
Compliance based on manufacturer declarations.
Customer responsible for finished product compliance.
14. Export Control
Customer responsible for compliance with EU dual-use and sanctions laws.
15. Anti-Bribery
Customer must comply with anti-corruption laws.
16. Anti-Counterfeit
We source from reputable suppliers.
Liability limited to replacement or refund of verified counterfeit goods.
17. Life-Support / Military Use
Products not authorized for life-support, nuclear or military weapon systems without written agreement.
18. Limitation of Liability
For Business Customers:
Liability limited to order value.
No liability for indirect damages including:
Lost profits
Production downtime
Recall of finished goods
Third-party claims
Nothing excludes liability where prohibited by law.
19. Indemnification
Business Customers indemnify ID Coil Group for third-party claims arising from integration, modification, or export violations.
20. Force Majeure
No liability for supplier shortages, semiconductor shortages, sanctions, cyber incidents, war, transport disruptions or government measures.
21. Privacy & GDPR
We process personal data in accordance with GDPR.
Data may include name, company details, VAT number, email, IP address and order history.
We process data for contract performance, legal compliance and fraud prevention.
We do not sell personal data.

22. Governing Law
Dutch law applies.
Disputes shall be submitted to the competent Dutch court.
B2B ADDENDUM
All sales are final unless otherwise agreed.
No right of withdrawal applies.
Warranty strictly limited to 12 months.
Consequential damages excluded in full.
Maximum aggregate liability capped at invoice value.
Customer bears full integration risk.
No liability for EMC certification, CE marking of final product.
Claims must be submitted within 14 days of defect discovery.
Jurisdiction exclusively Netherlands.
Any resale outside EU is at customer’s sole risk.
